EXHIBITION TERMS AND CONDITIONS


These Exhibition Terms and Conditions (hereinafter referred to as the "Terms") define the conditions, exhibition rules, and responsibilities between the TOKYO WATCH WOW! Executive Committee, operated by C's Factory Co., Ltd. (hereinafter referred to as the "Organizer"), and the participating exhibitor (hereinafter referred to as the "Exhibitor") regarding the event "TOKYO WATCH WOW!" (hereinafter referred to as the "Event"), held on the dates and at the venue specified in the Event Overview.


Article 1 (Compliance and Scope of Application)

  1. The Exhibitor must comply with these Terms, the "Exhibitor Manual / Rules" distributed by the Organizer, and any individual instructions provided via email or other communications (collectively referred to as the "Terms and Regulations"). The Exhibitor is also obligated to ensure that all personnel associated with their exhibition comply with the Terms and Regulations.
  2. If the Organizer determines that the Exhibitor has violated any part of the Terms and Regulations, the Organizer reserves the right, at any time, to terminate the exhibition agreement, order the removal or modification of exhibits, or suspend sales/demonstrations. The Exhibitor must immediately follow such orders. In such cases, any exhibition fees already paid will not be refunded under any circumstances.

Article 2 (Payment Fees, Sales Settlement, and Exchange Rates)

  1. Mandatory Payment Processing: All sales conducted at the Event must be processed using the Square payment terminal provided by the Organizer.
  2. Handling Fee: A fee equivalent to 20% of total sales will be deducted to cover the use of the Square terminal, payment processing, and sales settlement services.
  3. Payout: Following the conclusion of the Event, the remaining balance, equivalent to 80% of total sales, will be transferred to the Exhibitor’s designated bank account.
  4. Exchange Rates: If currency conversion is required for international remittance, the total amount will be converted based on the exchange rate applicable at the time the transfer is processed. The final amount received by the Exhibitor may vary due to exchange rate fluctuations.
  5. Agreement to Terms: By applying to exhibit, the Exhibitor acknowledges that they have reviewed and fully agreed to these sales settlement terms.

Article 3 (Application and Contract Formation)

  1. Prospective exhibitors shall apply for exhibition using the prescribed application method designated by the Organizer.
  2. The exhibition agreement shall be officially established when the Organizer reviews the application, approves the participation, and sends an "Exhibition Application Acceptance Notice" (via email or written communication) to the applicant.

Article 4 (Exhibition Plan, Booth Specifications, and Exhibition Fee)

Details regarding the exhibition plan and booth specifications are set forth in the attached "Event Overview."

Article 5 (Payment of Interpreter Fees)

  1. If an interpreter service is requested, the Exhibitor shall pay the required fees in full to the bank account designated by the Organizer by the due date specified on the invoice issued by the Organizer. All bank transfer fees shall be borne by the Exhibitor.
  2. If payment for interpreter fees cannot be confirmed by the specified due date, the Organizer reserves the right to terminate the exhibition agreement and cancel the booth. In such cases, the Exhibitor shall not be released from their obligation to pay cancellation fees associated with the termination.

    Article 6 (Cancellation Policy by Exhibitor)

    1. If the Exhibitor wishes to cancel their participation after the establishment of the exhibition agreement due to their own circumstances, they must promptly notify the Organizer in writing (including email) and obtain the Organizer's approval.
    2. If a cancellation causes actual financial damages to the Organizer or its affiliates (e.g., custom signage production costs, individual fixture cancellation fees, or other expenses incurred), the Organizer reserves the right to invoice the Exhibitor for these actual costs separately.

    Article 7 (Cancellation or Modification due to Force Majeure)

    1. In the event that it becomes impossible to hold the Event, or if the duration of the Event is shortened or modified due to natural disasters, transport disruptions, pandemics, civil unrest, government/municipal mandates, or any other force majeure events beyond the Organizer's control, the Organizer may cancel, postpone, or suspend the Event at its sole discretion.
    2. If the Event is cancelled or modified due to force majeure, the Organizer will establish a reasonable refund policy taking into account the actual operating expenses incurred up to that date, and will promptly notify all exhibitors. The Organizer assumes no legal liability for any direct, indirect, special, or consequential damages, lost profits, or preparation costs incurred by the Exhibitor or third parties as a result of such force majeure events.

    Article 8 (Restrictions on Displays, Fixtures, and Demonstrations)

    To preserve the venue facility and maintain the overall visual aesthetic of the Event, the following restrictions apply to brought-in fixtures and decorations:

      1. Height Limits: The maximum height for fixtures brought by the Exhibitor along the back wall of the booth is 2.1 m. The maximum height along the sides and front of the booth is 1.2 m.
      2. Facility Preservation: Nailing, screwing, installing anchor bolts, or attaching items directly using adhesive tape to the floor, walls, pillars, or ceiling of the venue is strictly prohibited.
      3. Restoration: Immediately after the Event closes, the Exhibitor must remove all display items and brought-in fixtures from their booth and restore the space to its original condition. If restoration is hindered or if venue property is damaged/soiled, the actual cost of restoration will be billed to the Exhibitor.
      4. Safety & Operational Standards: Demonstrations producing intense light, heat, strong odors, high noise levels, or the use of open flames and smoke machines are strictly prohibited under the Fire Services Act and venue regulations. Price tags, POP displays, and signage must adhere to the criteria designated by the Executive Committee to maintain the event’s brand image.

    Article 9 (Management of Exhibits & Valuables and Exemption of Liability)

    1. The Exhibitor shall manage and monitor all exhibited products, watches for sale, display equipment, and personal belongings at their own risk and expense throughout move-in, move-out, and event operating/overnight hours.
    2. The Organizer assumes no responsibility or compensatory liability for any loss, theft, damage, fire, water damage, or destruction of items within the booth or venue, regardless of the reason, except in cases of intentional misconduct or gross negligence by the Organizer. Even in cases where the Organizer is found to have slight negligence, the scope of the Organizer's liability for damages shall be capped at a maximum of JPY 150,000. Exhibitors are required to take self-protective measures, such as obtaining adequate property and liability insurance, at their own expense.

    Article 10 (Intellectual Property and Media Consent)

    1. All intellectual property rights pertaining to products, designs, and brand logos displayed or sold by the Exhibitor remain the property of the Exhibitor (or the rightful owner). The Exhibitor warrants that its exhibits do not infringe upon any third-party intellectual property rights.
    2. The Exhibitor agrees that the Organizer and authorized media representatives may photograph, film, and publish images of the booth and exhibited items without royalty for promotional purposes across websites, official SNS (e.g., Instagram), media publications such as "Watch LIFE NEWS," promotional flyers, and post-event reports.

    Article 11 (Handling of Personal Information)

    1. If the Exhibitor collects personal information (business cards, surveys, contact lists, etc.) from attendees during the Event, they must comply with applicable privacy laws and regulations, collecting, managing, and utilizing such data lawfully and appropriately within the scope explicitly stated at the time of collection.
    2. In the event of any disputes, complaints, or issues regarding data leaks, loss, unauthorized access, or misuse of personal information between the Exhibitor and attendees or third parties, the Exhibitor shall resolve the matter at their own expense and liability, fully indemnifying the Organizer from any legal exposure.

    Article 12 (Third-Party Disputes and Indemnification)

    1. If disputes arise with attendees or third parties due to product defects, inadequate explanations, pricing discrepancies, IP infringement, or operational negligence within the booth, the Exhibitor shall resolve the matter in good faith at their own expense. If the Organizer incurs legal claims or financial damages (including legal fees) as a result, the Exhibitor shall fully indemnify and hold harmless the Organizer.
    2. If the Exhibitor intentionally or negligently damages venue facilities, Organizer-supplied equipment, or other exhibitors' displays, the Exhibitor shall promptly pay full compensation for all incurred damages.

    Article 13 (Exclusion of Anti-Social Forces)

    1. The Exhibitor represents and warrants that neither the Exhibitor, its officers, employees, agents, nor contractors belong to or are associated with organized crime groups, anti-social forces, or related entities, and will maintain this status in the future.
    2. If the Exhibitor breaches the above representation or engages in threats, violent acts, or business disruption against the Organizer, the Organizer may immediately terminate the exhibition contract without prior notice. In such cases, the Organizer assumes no liability for damages and will not refund any paid exhibition fees.

    Article 14 (Governing Law and Jurisdiction)

    1. These Terms and the exhibition agreement shall be governed by and construed in accordance with the laws of Japan.
    2. Any disputes arising out of or in connection with these Terms shall first be resolved through good-faith negotiations between the parties. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
